Energizer CEO to Retire, Successor Named

Energizer Holdings, Inc., a manufacturer of batteries and parent company of shaver manufacturer Schick-Wilkinson Sword, announced that Pat Mulcahy will retire as CEO of the company, immediately following the company's 2005 Annual Meeting of Shareholders, which will be held Jan. 25, 2005. Upon Mr. Mulcahy's retirement, the board of directors has selected Ward Klein, the company's COO, to succeed Mr. Mulcahy as CEO, and has also nominated him for election to the board of directors at the Annual Meeting. Mr. Mulcahy will remain as a member of the Board of Directors, and upon his retirement, will become vice chairman.

"Pat's leadership of the Energizer battery business for over 18 years has been outstanding, and he is directly responsible for the strong position, worldwide, that the Company is in today," said William P. Stiritz, chairman of the Board. "The Board understands his desire to step back from the rigors of serving as CEO, but we are frankly thrilled that he is willing to continue to serve on the Board.

"We are also pleased that Ward has proven himself ready to step into the CEO position," Mr. Stiritz continued. "Since being named chief operating officer last January, he has taken on significant new responsibilities, has thoroughly familiarized himself with the razors and blade business, as well as the domestic battery business, and has worked closely with Mr. Mulcahy to understand the Company's overall strategy. We think he will do a tremendous job."

Ward Klein obtained a bachelor of arts degree, majoring in economics, from St. Olaf College, and a Master's in Management from the Kellogg Graduate School of Management at Northwestern University. He joined Energizer's former parent, Ralston Purina Company, in 1979, and transferred to its newly acquired battery division in 1986 as director of New Products. He assumed positions of increasing responsibility, serving as director of Marketing, and then Trade Marketing; vice president of Marketing; vice president and general manager of Global Lighting Products; vice president and Area Chairman, Latin America; vice president and Area Chairman, Asia Pacific, Africa and Middle East; President, International; and, since January 2004, president, COO, Energizer Holdings, Inc.

In addition to Mr. Klein, the Board of Directors also nominated Bill G. Armstrong and John Hunter for election to the Board at the Annual Meeting.
