Motorola's Semiconductor Products Sector, based in California, U.S., is now doing business as Freescale Semiconductor, Inc., a subsidiary of Motorola, Inc. The reorganization is part of the process to implement the semiconductor businesses' previously announced separation from Motorola.

Metrowerks Corporation will also be a subsidiary of Freescale Semiconductor and will continue to operate under its current name.

In a written statement, Motorola announced that it has filed an S-1 registration statement for the initial public offering (IPO) of shares of Freescale Semiconductor with the U.S. Securities and Exchange Commission (SEC). During this period of SEC review, SEC regulations limit communications regarding Freescale Semiconductor or the IPO to the actual S-1.

These restrictions will remain until approximately 25 days after the SEC declares our registration statement effective, and shares in Freescale Semiconductor are sold during an IPO.
